moCal – Terms of Use

Moris Media Private Limited thanks you for choosing moCal. These Terms of Use (referred to also as "Terms" or "Agreement") represent a legal agreement between you and Moris Media Private Limited (referred to also as “Moris Media”, “we”, “our”, or “us”) and govern your use of all the text, data, information, software, graphics, photographs, and other materials that we and our affiliates make available to you (collectively referred to as “Documentation”), including our websites, services, plug-ins, software, or other downloadable tools (collectively referred to as the “Platform” or “Website,” and together with the Documentation, these “Services”). moCal “Users” are individuals or entities who have created a moCal account, and moCal “Invitees” are people who have scheduled a meeting with a moCal User but may or may not have registered with moCal. A moCal “Viewer” is a person who visits the moCal Website but may or may not be a moCal User or moCal Invitee.

If you are agreeing to these Terms on behalf of a company or other organization, you confirm that you are authorized to agree to these Terms on behalf of such company or organization (“Authorized User”).

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THIS WEBSITE. YOUR USE OF THESE SERVICES INDICATES THAT YOU HAVE READ AND ACCEPTED THESE TERMS. YOU CANNOT USE THESE SERVICES IF YOU DO NOT ACCEPT THESE TERMS. THESE TERMS INCLUDE A DISPUTE RESOLUTION AND ARBITRATION PROVISION, INCLUDING A CLASS ACTION WAIVER THAT AFFECTS YOUR RIGHTS UNDER THESE TERMS AND WITH RESPECT TO ANY DISPUTES YOU MAY HAVE WITH MORIS MEDIA.

IF YOU ARE A moCal USER, AUTHORIZED USER, VIEWER, OR INVITEE LOCATED IN INDIA, WE ADHERE TO THE INFORMATION TECHNOLOGY ACT, 2000 AND ITS RULES AND AMENDMENTS, ENSURING COMPLIANCE WITH LOCAL DATA PROTECTION AND PRIVACY LAWS. Our commitment to protecting your data is of utmost importance, aligning with both international and Indian IT laws.

IF YOU ARE A moCal USER, AUTHORIZED USER, VIEWER, OR INVITEE LOCATED IN THE EUROPEAN ECONOMIC AREA, SWITZERLAND, OR UNITED KINGDOM, THE DATA PROCESSING ADDENDUM ACCOMPANIES THESE TERMS AND SETS FORTH OTHER TERMS OF OUR AGREEMENT THAT APPLY SOLELY TO THE EXTENT ANY INFORMATION YOU PROVIDE TO MORIS MEDIA INCLUDES PERSONAL DATA OF INDIVIDUALS LOCATED IN THE EUROPEAN ECONOMIC AREA, SWITZERLAND, AND THE UNITED KINGDOM.

Scope:

moCal's services facilitate online appointment scheduling. You are only permitted to access and utilize the Services in accordance with these Terms. Please note that these Terms govern your use of the Services, including, but not limited to, how your Invitees schedule appointments with you.

When utilizing the features of the Services, you are subject to any posted agreements, policies, or guidelines applicable to such features. These Terms incorporate by reference all such agreements, policies, and guidelines, including the Privacy Notice, the End User License Agreement, and the Data Processing Addendum (as applicable).

General Use:

We invite you to utilize these Services for your own personal, non-resale purposes ("Permitted Purposes") – feel enjoy to enjoy our services!

Subject to these Terms, we grant you a limited, personal, non-exclusive and non-transferable license to use and display the Documentation and a limited, personal, non-exclusive and non-transferable license to access and use the Service following the creation of a Free Account or Paid Account in accordance with the provisions set forth below. You have no other rights to the Service, and you may not use the Service for any purpose beyond the access granted by this Agreement. Customer shall not at any time, directly or indirectly, and Customer shall not permit any Authorized Users to: (i) copy, modify, or create derivative works of the Services or Documentation, in whole or in part; (ii) rent, lease, lend, sell, license, sublicense, assign, distribute, publish, transfer, or otherwise make available the Services or Documentation; (iii) reverse engineer, disassemble, decompile, decode, adapt, or translate the Services or Documentation; or (iv) If you make reproductions of any portion of this Website for Permitted Purposes, you must include all of our copyright and other proprietary notices exactly as they appear on this Website.

We also grant you a limited, personal, non-exclusive, non-transferable license to download, install, and operate any plug-ins, software, information, or other content that we may specifically identify within the Website as available for download solely in connection with accessing the Website, including, but not limited to, relevant moCal browser extensions ("Downloadable Tools"). These Downloadable Tools are also subject to the additional terms provided upon download, including our End User License Agreement.

Our Service is not intended for use by children under 13 years of age, with the exception of the Educational Use section of these Terms. You are responsible for ensuring that all moCal Users and Invitees are at least 13 years old. Our Terms prohibit creating an account with fraudulent information, including creating an account on behalf of another person or a person under the age of 18.

Educational Use:

Children under the age of 13 may only use the Services through an account created by and under their parent/legal guardian or school/educator; any other use is expressly prohibited. Customer is and shall be responsible for compliance with the U.S. Family Educational Rights and Privacy Act ("FERPA") and the Children's Online Privacy Protection Act of 1998 and its implementing regulations (collectively "COPPA") if You are a school or educator in the United States and want your students to use the Services. Indian parents will ensure that they are compliant with the provisions specified in the Information Technology Act, 2000 governing usage of services for children under the age of 13; the purpose as illustrated with only be limited to Education and the user will have the onus of ensuring compliance with the laws.

To the extent that Moris Media has access to "education records" as defined by FERPA and Information Technology Act, 2000 and their implementing regulations, it is deemed and shall function as a "school official" with "legitimate educational interests" when carrying out its responsibilities under this Agreement, and the parties agree that you have "direct control" over the use of "education records" as defined by FERPA. Moris Media agrees to comply with its obligations under FERPA and Information Technology Act, 2000, including but not limited to the limitations on re-disclosure of personally identifiable information from education records set forth in FERPA and Information Technology Act, 2000, as well as the terms listed below.

This means that you must notify the parents/guardians of the students whose personally identifiable information you will collect and share with us, and obtain their consent, before the students register for or use the Services. You must provide parents/guardians with a copy of our Privacy Policies, when obtaining such consent. You must maintain a record of all consents and provide them to us upon request. In addition, you are liable for verifying the student-parent relationship and adhering to the parent's right to examine the child's personally identifiable information. You must comply by requesting and providing Moris Media with a data subject request for the aforementioned data, or any modifications to such data requested by the parent, and by providing the data to the parent after verifying the student-parent relationship. If you are located outside the United States and India, Moris Media will rely on you to obtain any required consents or approvals from the parent or guardian of any student covered by similar laws, and you must comply with such laws as a condition of your and your students' use of the Services.

Account Setup:

In order to use the website, you must create a moCal account. You may create either a free ("Free Account") or a paid ("Paid Account") account. Moris Media authorizes you to create only one free account. Moris Media reserves the right to terminate any additional Free Accounts you create, as well as inactive Free Accounts older than 120 days.

We collect registration-related information, including your email address and name, when you create an account. We will determine whether or not to authorize your proposed account once you have submitted the required registration information. If authorized, you will receive an email with instructions on how to complete registration. You agree to provide true, accurate, current, and complete information as long as you use the account, which you can do by logging into your account and making the necessary adjustments. You are responsible for adhering to these Terms whenever you access this Website, whether directly or via any account you create on or through this Website. Due to the fact that this is your account, it is your responsibility to acquire and maintain all necessary apparatus and services in addition to paying any fees associated with accessing and using this website. You agree to select strong and secure passwords and to maintain the confidentiality of your passwords, including any password of a third-party site that we may permit you to use to access this Website. If you believe your password or this website's security has been compromised in any way, you must notify us immediately at support@mocal.ai

When you upgrade to a Paid Account, Moris Media or our invoicing processors collect your billing details. Our Privacy Notice ensures that all information is safeguarded.

Subscription Plans, Fees, and Payments:

By utilizing moCal's services, you agree to adhere to the payment terms outlined on our pricing page for the services you use. When you provide a payment method, you are granting us express authorization to charge for your subscription, including applicable fees, taxes, and additional charges at regular intervals. These charges are based on the specific subscription plan and services you select.

moCal offers various subscription durations, such as monthly or yearly plans, detailed on our pricing page. For account renewals, moCal will automatically bill the current fee for your chosen subscription type, along with any relevant taxes, to your provided payment method. Each renewal period may include a price adjustment based on the Consumer Price Index (“CPI”) + 3%, unless a different rate is communicated to you prior to the start of the renewal term. Please note that all payments made to moCal are non-refundable.

In cases where payment processing is facilitated by third parties, moCal is not liable for any discrepancies or issues arising from these third-party services. If applicable, you are responsible for keeping your billing information up-to-date to avoid any service interruptions.

BY CREATING A PAID ACCOUNT, YOU AGREE THAT MORIS MEDIA MAY CHARGE YOUR PAYMENT METHOD, EITHER DIRECTLY OR THROUGH ITS PAYMENT PROCESSORS, FOR THE AMOUNTS DUE FOR YOUR INITIAL SUBSCRIPTION PERIOD AND FOR ADDITIONAL SUBSCRIPTION PERIODS, UNTIL YOUR ACCOUNT IS CANCELLED OR TERMINATED. PLEASE PRINT THESE TERMS & CONDITIONS FOR YOUR RECORDS.

Renewal/Cancellation:

Paid Accounts will renew automatically for the same subscription period unless you terminate before the end of the current subscription period. You can terminate your account at any moment within the moCal application by visiting the "billing" page, which is accessible via the "account" menu's drop-down. The cancellation is effective instantly. Please be aware that after you terminate your account, you may no longer be able to use or access the Platform, and you will not be eligible for a refund of any fees you've paid.

Legal Compliance:

Regarding your use of our website, you agree to comply with all applicable domestic and international laws, statutes, ordinances, and regulations. Moris Media reserves the right to investigate complaints or reported violations of our Terms and to take any action we deem appropriate, including but not limited to terminating your User account, reporting any suspected unlawful activity to law enforcement officials, regulators, or other third parties and disclosing any information necessary or appropriate to such persons or entities relating to your profile, e-mail addresses, usage history, posted materials, IP addresses, a description of the alleged infringement and your location. You agree to immediately notify Moris Media if you become aware of any unauthorized or unlawful use of the Site.

Intellectual Property:

Our Services may include our service marks or trademarks, as well as those of our affiliates or other companies, in the form of words, illustrations, and logos, as well as any and all intellectual property provided to Customer or any Authorized User in connection with the Services ("moCal IP"). The 'moCal' name, moCal logo, individual Service names, and their respective logos are trademarks of Moris Media Private Limited. You agree not to use or display these trademarks in any manner without prior permission from Moris Media. Additionally, our website is protected by international copyright regulations. You are prohibited from duplicating, redistributing, using, or publishing any portion of our website. Utilizing our services does not grant you any ownership rights to our website or materials. Moris Media reserves all rights not expressly granted to Customer under the terms of this Agreement. Except for the limited rights and licenses expressly granted under this Agreement, nothing in this Agreement grants Customer or any third party any intellectual property rights or other right, title, or interest in or to the moCal IP, whether by implication, renunciation, estoppel, or otherwise.

Notices and Messages:

By using the Services, you agree to receive email communications from us. These communications may contain notices about applicable fees and charges, transactional information, and other information relating to or concerning the Services. These communications are an integral part of our relationship with you. By scheduling a meeting as an Invitee with a moCal User, you consent to receive transactional communications (such as booking confirmations and reminders) related to the scheduled meeting. If, as an Invitee, you provide your phone number for text notifications, you agree to receive SMS notifications from Moris Media regarding the appointed meeting between you and the moCal User.

You concur that any notices, agreements, disclosures, or other communications we send you electronically will satisfy any legal communication requirements, including the requirement that such communications be in writing. You agree to maintain accurate contact information and monitor your email settings to ensure that you receive communications from us at your discretion and as required. If you as an Invitee and/or moCal User consent to the use of SMS notifications as described herein, you also agree to comply with the moCal Acceptable Use Policy when sending and/or receiving such SMS notifications.

Links to Other Websites:

Our Website may contain links to the websites of third parties. These links have been provided solely for your convenience. By linking to these websites, we do not create them, have any affiliation with them, or sponsor them. The inclusion of links on our Website does not constitute an endorsement, guarantee, warranty, or recommendation of the linked-to websites. Moris Media has no control over the legal documents and privacy practices of third-party websites; by using them, you may grant those websites permission to use or control your information in ways that Moris Media would not. Consequently, you access websites of third parties at your own risk.

moCal Community:

These moCal Community Terms of Use (“Community Terms”) apply to your use of the moCal Community, our interactive platform (“moCal Community”). These Community Terms supplement our general Terms of Use and are incorporated into them by reference. Therefore, both the Community Terms and moCal’s Terms of Use govern your participation in moCal Community. To engage with moCal Community, you must have an active moCal account.

Please read these Community Terms carefully before accessing moCal Community. By using the platform, you acknowledge that you have read and agree to these terms. You cannot participate in moCal Community if you do not accept these terms.

Community Engagement and Conduct:

moCal Community is a collaborative space where users can share knowledge and experiences to maximize their use of moCal. It is crucial that all users contribute to the moCal Community in a respectful and safe manner. The “Unauthorized Activities” outlined in our general Terms of Use also apply here. Additionally, users must refrain from posting or sharing content that:

  • Promotes or condones violence, hatred, or discrimination against any group based on race, ethnicity, religion, gender, age, sexual orientation, disability, or any other protected status.
  • Contains hate speech as defined by relevant laws and regulations.
  • Incites violence, harassment, or harm towards others.
  • Is defamatory, obscene, offensive, or vulgar.
  • Infringes upon the rights of others, including intellectual property, privacy, or other legal rights.
  • Violates any applicable laws or regulations.

Your participation in moCal Community must comply with all relevant local and international laws.

User Content Responsibility:

User Content in moCal Community includes messages, reactions, posts, replies, multimedia, and personal identifiers like names and photos. You are solely responsible for your User Content. While moCal is not obligated to monitor User Content, we reserve the right to review it for compliance with these Community Terms and applicable laws. We may take necessary actions, including content removal, account suspension, legal steps, or other responses to violations, without prior notice.

By contributing User Content, you grant moCal a perpetual, irrevocable, royalty-free, global license to use, modify, publish, and display this content in connection with operating and improving moCal Community.

Public Nature of User Content:

Though posting in moCal Community is limited to moCal Users, the content is publicly accessible. Be mindful that your User Content can be seen by anyone. Avoid sharing confidential or sensitive information. moCal is not liable for any third-party use or misuse of your User Content.

Community Rewards:

Engagement in moCal Community may be recognized with rewards like badges, points, or prizes (“Rewards”), offered at moCal’s discretion. We reserve the right to modify, suspend, or terminate these Rewards without notice. Rewards have no cash value, are non-transferable, and do not confer property rights.

Community Engagement:

moCal offers public areas like our blog and idea portal (“Forums”) for you to engage with others and share your thoughts. If you make a submission, such as feedback, data, text, or other materials (“Submission”), we’re thrilled to hear from you! Your insights are invaluable in enhancing moCal for everyone. By sharing a Submission, you agree that we can freely use it without any restrictions or compensation to you.

Remember, anything posted in our Forums can be seen and used by others. If you wish to have your information removed from a Forum, please contact support@mocal.ai. We will do our best to accommodate your request, but there may be instances where removal isn’t possible, and we will explain why.

Your Submissions are entirely your responsibility, and you should consider them non-confidential and non-proprietary. While using the Forums, be aware that your Submissions can be viewed by anyone. moCal does not necessarily endorse or pre-screen Submissions – remember, content from others may sometimes be offensive. Also, we cannot guarantee the ability to edit or delete any Submission after posting.

By submitting any content, you affirm that you own all rights to your Submission, it does not infringe on others' rights, complies with laws and regulations, and is in good taste. You grant moCal an irrevocable, royalty-free license to use, modify, publish, and display your Submission, and to allow others to do the same, in any manner including on our Website.

moCal is not obligated to publish any content on our Forum and reserves the right to remove any content at our discretion, with or without notice.

Unauthorized Activities:

To be clear, we authorize your use of these Services only for Permitted Purposes. Any other use of these Services beyond the Permitted Purposes is prohibited and, therefore, constitutes unauthorized use which may result in the violation of various United States and international copyright laws, the deletion of your moCal account, or a block from the Services. Unless you have written permission from us stating otherwise, you are not authorized to use these Services in any of the following ways. (Note that these are examples only, and the list below is not a complete list of everything that you are not permitted to do):

You are not allowed to use the Services:

  • To create a competing product, resell or broker the Services to any third-party;
  • In a manner that modifies, publicly displays, publicly performs, reproduces, or distributes any of the Services;
  • In a manner that violates any relevant law or the Terms of this Agreement, including but not limited to anything that is illegal in the jurisdiction where the User, Invitee and/or Authorized User is located;
  • To stalk, harass, spam, or harm another individual, organization, or business;
  • To disclose information that you do not have permission to disclose;
  • To impersonate any person or entity, misstate your Personal Data, or otherwise misrepresent your affiliation with a person or entity;
  • To interfere with or disrupt the Services or servers or networks connected to the Services;
  • To use any data mining, robots, or similar data gathering or extraction methods in connection with the Services;
  • To disseminate any viruses, worms, or otherwise harmful code; or
  • To attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services, whether through hacking, password mining, or any other means;
  • To submit or store Payment Card Industry data (such as credit card numbers) without using an authorized moCal payment integration;
  • To disclose any types of information listed in the laws of the land where the service is being used or other relevant privacy regulations, including medical or health insurance information, education information, employment information, credit or debit card information, or any other financial information, driver’s license, or other government identification number;
  • To disclose or collect any types of information considered to be protected classification characteristics under applicable laws of the land, including Age, race, colour, ancestry, national origin, citizenship, religion or creed, marital status, medical condition, physical or mental disability, sex (including gender, gender identity, gender expression, pregnancy or childbirth, and related medical conditions), sexual orientation, veteran or military status, and genetic information (including familial genetic information); and
  • To disclose or collect any information defined by relevant laws as biometric information, or any information that falls within the definition of “special categories of data” under EU Data Protection Laws, “protected health information” under California, Information Technology Act in India or other relevant law or regulations. “Special categories of data” include, for example, information about an individual’s race, ethnic origin, politics, religion, trade union membership, genetics, biometrics, health, sex life, sexual orientation, or criminal records.

moCal app adheres strictly to the Google API Services User Data Policy, ensuring that the protection and privacy of all data is in compliance with the Limited Use requirements. Fair Use Policy:

The Fair Use Policy of moCal builds on existing use restrictions and ensures that all customers can use the services equitably. Certain moCal features, such as notifications, may be aggregated and sent from fewer email or phone addresses or numbers. This indicates that multiple consumers are concurrently utilizing these features. If a single user places disproportionately high demands on the services, it may negatively impact the experience of other moCal users. The vast majority of our customers make considerate use of the service, and their consumption levels have no negative impact on service capacity. However, even the actions of a small number of customers who improperly utilize the service have the potential to have a substantial impact on the service for other customers.

The use of certain customer features, such as SMS notification, is perpetually monitored. Moris Media reserves the right, in order to defend its platform and other customers' usage, to restrict usage, suspend access, or charge fees for excessive usage when a customer generates an exceptionally high burden over a brief period of time. This policy will only affect consumers who consistently generate an exceptionally high burden over an extended period of time.

Beta Features:

moCal occasionally offers certain Services as closed or open beta versions ("Beta Service" or “Beta Services”) for testing and evaluative purposes. By engaging with these Beta Services, you acknowledge that moCal holds the exclusive right to determine the testing period. The success of these Beta Services and their potential transition to commercial services is at our sole discretion. Your participation in Beta Services does not obligate you to purchase a subscription for any future paid Services. We reserve the right to modify, suspend, or discontinue any Beta Services, either in whole or in part, at any time without prior notice. moCal is not liable for any impact this may have on you or third parties.

Free Trial Offer:

If you sign up for a free trial of one or more of moCal's Services, we will provide these Services to you at no cost for the trial period, which ends on the earlier of (i) the conclusion of the free trial period for the selected Services (unless you choose to end it sooner), (ii) the commencement of any paid subscription for these Services, or (iii) termination by moCal at our discretion. Be aware that any data entered or customizations made during the free trial will be lost unless you (i) purchase a corresponding paid subscription, (ii) upgrade to a relevant paid Service, or (iii) export your data before the trial ends. Please note that during the free trial, the Services are provided "as-is" without any form of warranty, support, or liability, as permitted by law.

Indemnification:

You are solely liable for any violation of these Terms that you commit. You agree to indemnify and hold Moris Media, its parents, subsidiaries, affiliates, officers, agents, employees, resellers or other partners, and licensors harmless from any claim, demand, loss, or damages, including reasonable attorneys’ fees (“Losses”), resulting from any third-party claim, suit, action, or proceeding (“Third-Party Claim”) that the Customer Data, or the use thereof in accordance with this Agreement, infringes or misappropriates such third party’s intellectual property rights or violates any applicable law or regulation and any Third-Party Claims based on Customer’s or any Authorized Users’ (i) negligence or wilful misconduct; (ii) use of the Services in a manner not authorized by this Agreement; (iii) use of the Services in combination with data, software, hardware, equipment, or technology not provided by Moris Media or authorized by Moris Media in writing; or (iv) modifications to the Services not made by Moris Media, provided that Customer may not settle any Third-Party Claim against Moris Media unless Moris Media consents to such settlement, and further provided that Moris Media will have the right, at its option, to defend itself against any such Third-Party Claim or to participate in the defence thereof by counsel of its own choice.

Warranty Disclaimer:

THE SERVICES ARE PROVIDED "AS IS" AND MORIS MEDIA HEREBY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. MORIS MEDIA EXPRESSLY DISCLAIMS ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AS WELL AS ANY AND ALL WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE. MORIS MEDIA MAKES NO WARRANTY OF ANY KIND THAT THE MORIS MEDIA IP, OR SERVICES, OR ANY PRODUCTS OR RESULTS OF THE USE THEREOF, WILL MEET CUSTOMER'S OR ANY OTHER PERSON'S REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, ACHIEVE ANY INTENDED RESULT, BE COMPATIBLE OR WORK WITH ANY SOFTWARE, SYSTEM, OR OTHER SERVICES, OR BE SECURE, ACCURATE, COMPLETE, FREE OF HARMFUL CODE, OR ERROR FREE. MORIS MEDIA EXPRESSLY DISCLAIMS ALL WARRANTIES REGARDING THIRD-PARTY INTEGRATIONS.

THIS MEANS THAT WE DO NOT GUARANTEE THAT THE SERVICES WILL BE ERROR-FREE. WE MAKE NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED. WE MAKE NO REPRESENTATIONS OR WARRANTIES AS TO THE RESULTS THAT MAY BE OBTAINED OR THE ACCURACY OR RELIABILITY OF ANY INFORMATION OBTAINED THROUGH THE SERVICES. NO ADVICE OR INFORMATION, ORAL OR WRITTEN, OBTAINED BY YOU FROM US OR OUR SUBSIDIARIES/OTHER AFFILIATED COMPANIES THROUGH THE SERVICES SHALL CREATE ANY WARRANTY. WE DENY ALL EQUAL REIMBURSEMENTS.

Limitation of Liability:

MORIS MEDIA IS NOT LIABLE TO YOU OR THIRD PARTIES FOR ANY DAMAGES THAT RESULT FROM YOUR USE OF THE SERVICES OR YOUR DISPLAYING, COPYING, OR DOWNLOADING OF ANY DOCUMENTATION TO OR FROM THE WEBSITE. IN NO EVENT SHALL MORIS MEDIA BE LIABLE PURSUANT TO OR IN CONNECTION WITH THIS AGREEMENT UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE, FOR ANY: (a) CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, ENHANCED, OR

IN NO EVENT WILL MORIS MEDIA'S AGGREGATE LIABILITY OR MORIS MEDIA'S INDEMNIFICATION OBLIGATIONS ARISING OUT OF OR RELATED TO THIS AGREEMENT UNDER ANY LEGAL OR EQUITABLE THEORY, INCLUDING BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, AND OTHERWISE EXCEED THE GREATER OF (I) THE AMOUNT PAID, IF ANY, BY YOU TO MORIS MEDIA IN CONNECTION WITH THESE TERMS IN THE TWELVE (12) MONTHS PRIOR TO THE ACTION GIVING RISE TO LIABILITY OR (II) INR 7,500.00.

THIS LIMITATION OF LIABILITY IS A FUNDAMENTAL ELEMENT OF THE AGREEMENT BETWEEN YOU AND MORIS MEDIA AND SHALL APPLY TO ALL CLAIMS OF LIABILITY, EVEN IF MORIS MEDIA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES AND EVEN IF THESE REMEDIES FAIL IN THEIR ESSENTIAL PURPOSE.

Local Laws; Export Control:

We control and operate the Services from our headquarters in India, and it may not be possible or appropriate to use the Services in their entirety in other locations. If you use the Services outside India, it is your sole responsibility to comply with local laws.

Moris Media and you must comply with all applicable export control laws and regulations in India. Without limiting the foregoing: (a) you acknowledge that the Services may be subject to the India’s Export Administration Regulations; (b) you affirm that you do not, and will not: (i) permit moCal Users or Invitees to access or use the Services in a India embargoed country; (ii) or permit moCal Users or Invitees on the India’s Denied Persons, Entity, or Unverified Lists; or (iii) permit moCal Users or Invitees on India’s Specially Designated Nationals and Consolidated Sanctions list; and (c) you are responsible for complying with any local laws and regulations that may affect your right to import, export, access, or use the Services.

Dispute Resolution and Arbitration; Class Action Waiver.

This clause facilitates the expeditious and efficient resolution of any dispute between us and you. Thus, "dispute" has the broadest meaning permitted by law and encompasses any claims against other parties relating to services or products provided or billed to you (such as our licensors, suppliers, dealers, or third-party vendors) whenever you also assert claims against us in the same proceeding.

This provision stipulates that all disputes between you and us will be resolved through binding arbitration, as your acceptance of these Terms constitutes a waiver of your right to litigate claims and to be heard by a judge or jury. We prefer arbitration because we believe it is less dramatic than litigation. To clarify, in arbitration there is no judge or jury, and court review of an arbitration award is limited. The arbitrator must adhere to the terms of this Agreement and has the same ability to award damages and relief as a court (including attorney's fees). YOU AND MORIS MEDIA AGREE THAT ANY AND ALL DISPUTES, AS DEFINED ABOVE, BASED ON ACTS OR OMISSIONS IN THE PAST OR FUTURE, WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION RATHER THAN IN COURT PURSUANT TO THIS PROVISION.

Pre-Arbitration Claim Resolution

You must first give us a chance to remedy or resolve any dispute by emailing us the following information at support@mocal.ai (1) your name, (2) your address, (3) a written description of your claim, and (4) a detailed description of the relief sought. If we are unable to resolve the dispute within 60 days of receiving your notification, you may pursue arbitration.

Arbitration Methods

If this clause applies and the dispute is not resolved as described above (Pre-Arbitration Claim Resolution), either you or we may initiate arbitration proceedings. Pre-identified arbitrators will arbitrate all disputes, and a single arbitrator will preside over the proceedings. The arbitration will be initiated as an individual arbitration, and not as a class arbitration under any circumstances. Whenever it conflicts with the applicable arbitration rules, this provision governs. The arbitration will not be subject to class action procedures or rules under any circumstances. Due to the interstate nature of the Services and these Terms, laws laid down under the Indian Constitution governs the arbitrability of all disputes. Nevertheless, the arbitrator will apply the applicable substantive law in accordance with the FAA and the applicable statute of limitations or condition precedent to suit. You or we may initiate arbitration in the courts of Kolkata, West Bengal, India.

Waiver of Class-Action Proceedings

The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class or representative proceeding or claims (such as a class action, consolidated action, or private attorney general action) unless both you and Moris Media agree to do so following the commencement of the arbitration.

Other

You acknowledge and agree that by accepting this provision of these Terms, you and we are each waiving the right to a trial by jury or in a public court. If any clause within this provision (other than the Class Action Waiver clause above) is determined to be unlawful or unenforceable, that clause will be severed from this provision, and the remaining provisions will continue to apply. If the Class Action Waiver clause is determined to be unlawful or unenforceable, the entirety of this provision will be void and the dispute will be resolved by a court. This provision will survive the termination of your account with us or our affiliates, as well as the cessation of your use of this website. We agree that, despite any contrary provision in this Agreement, if we make any change to this provision (other than a change to the Notice Address), you may reject any such change and require us to adhere to the language in this provision in the event of a dispute between us.

General Terms:

We believe direct communication resolves the majority of issues; if we believe you are violating these Terms, we will likely inform you. If practicable, we might also recommend the necessary corrective action(s). Nevertheless, certain violations of these Terms, as determined by us, may necessitate the immediate termination of your access to this Website without prior notice.

Designated courts in Kolkata, West Bengal, India set as per provisions of the Indian Constitution govern these Terms to the utmost extent permitted by applicable law, without regard to preference or conflicts of law provisions. Except for disputes subject to arbitration as described above, any disputes arising out of or relating to these Terms or this Website shall be resolved by the courts of Kolkata, India. Except as otherwise provided in the dispute resolution provision, if any of these Terms are found to be inconsistent with applicable law, then such term(s) will be interpreted to reflect the parties' intentions, and no other terms will be modified. By choosing not to enforce any of these terms, we do not waive our legal rights. These Terms, along with our Privacy Notice, End User License Agreement, FERPA COPPA Privacy Policy, and the Data Processing Addendum (as applicable), Information Technology Act 2000, India constitute the entire agreement between you and us and, as such, supersede any prior or contemporaneous negotiations, discussions, or agreements between Moris Media and you pertaining to the Services. This Agreement incorporates by reference any and all definitions found in the Privacy Policy, End User License Agreement, FERPA COPPA Privacy Policy, Information Technology Act 2000, India and Data Processing Addendum. The rights granted to Moris Media by our Terms shall survive the expiration or termination of this Agreement. Any additional terms, conditions, consent, renunciation, alteration, or modification must be in writing and signed by both parties to be valid. Moris Media's acceptance of any order is expressly conditioned on compliance with the terms and conditions of this Agreement. Any proposed additional or inconsistent terms or conditions, including those in or accompanying any Customer proposal, any Customer purchase order, or other agreement or any other Customer document issued in connection with the sale or delivery of Products or Services, are regarded by Moris Media as a material change and are objected to and rejected. The acceptance of orders by Moris Media does not imply consent of the terms and conditions contained therein.

In no event shall Moris Media be liable to Customer, or deemed to have breached this Agreement, for any failure or delay in performing its obligations under this Agreement, if and to the extent such failure or delay is caused by circumstances beyond Moris Media's reasonable control, including but not limited to acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, riot or other civil unrest, strikes, epidemics, contractor difficulties, labour stoppages, or governmental restrictions.

Unless Customer has notified Moris Media to the contrary in writing (including via email to support@mocal.ai, legal@mocal.ai, or marketing@mocal.ai, Moris Media may disclose your company as a moCal customer (if you use moCal for business purposes and/or use a business email address as your moCal User email address) and may use your company's name and logo on the Website and in Moris Media's promotional content. Moris Media will be granted a revocable, non-exclusive, non-transferable, non-sublicensable, royalty-free license ("Trademark License") to use, display, and reproduce such party's name, logo, trademarks, and service marks ("Trademarks"). Both parties acknowledge that the Trademark of the other party is and will remain the sole property of that party.

Modification of Terms:

We reserve the right to modify these terms at any time by posting updated terms on our website and/or by sending an email to the address you provided. These Terms are current as of the aforementioned Effective Date. If there are any modifications to these Terms, we will post them on this page, so kindly check back periodically. If you continue to use moCal after these modifications become effective, you consent to the revised Terms. moCal’s mission is to help you schedule better. To do so, we need personal information from you and the people scheduling time with you – there’s no way around it. But we don’t take this responsibility lightly. We recognize the importance of privacy and your rights, and we want you to feel confident about using our services and in your interactions with us. “Invitees” are people who have scheduled a meeting with a User but may or may not have registered with moCal. Invitees also include candidates in the context of the Prelude service.

Viewer is a person who visits the Website but may or may not be a User or Invitee.

“Personal Data” is any data relating to an identified or identifiable natural person that is processed by Moris Media as described in this Privacy Notice when such information is protected as “personal data” or “personal information” or a similar term under applicable data protection laws.

Applicability:

This Privacy Notice applies to Personal Data Moris Media collects when you visit or use our Website as described in the “Information We Collect” section of this Privacy Notice below. Moris Media is the controller of that Personal Data. This Privacy Notice does not apply to Personal Data within Customer Data (as that term is defined in your agreement with Moris Media), such as information a User collects about an Invitee when an Invitee books a meeting or interview using our services. We process Personal Data within Customer Data on our customers’ behalf as a processor or service provider. If you are an Invitee and have questions about how your data is processed by our customers or wish to exercise your rights with respect to that data, you must reach out to the User who collected your information. If you contact us about Personal Data within Customer Data and are able to identify the company or User with whom you have interacted, we will promptly notify the relevant customer who collected your data of your inquiry.

Information We Collect:

We collect information about you directly from you and automatically through your use of our Website. To help you protect yourself and your information, we encourage you to provide and collect only that information that is necessary for using our Website. For example, to schedule a meeting, the only information that is necessary is names, email addresses, date, and time. Please note that if you choose not to share certain Personal Data with us, or refuse certain contact permissions, we might not be able to provide certain parts of the Services.

moCal is not directed to children under thirteen (13) years of age, and we do not knowingly collect personal Data from children under 13. If we discover that a child under 13 has provided us with Personal Data, we will promptly delete such Personal Data from our systems. For educational service providers and schools, please see our FERPA and COPPA Privacy Policy and Notice.

Information You Provide:

Moris Media collects the following information, either directly from Users, Invitees, or Viewers, or through third parties regarding Users, Invitees, or Viewers.

Appointment Information:

A User may voluntarily give us certain information when scheduling and setting up appointments. This can include name, email address, phone number; email addresses of other people and/or Invitees; the subject of the meeting; and any other information a User provides or collects upon scheduling, pursuant to the moCal Terms of Use or an executed agreement with Moris Media. moCal processes the information an Invitee provides to a User when scheduling with the User on the User’s behalf as a processor or service provider.

moCal Calendar Availability:

A User may connect their calendar with moCal. Our calendar integration only checks the duration and free/busy status of the events in your calendar so that we don’t book you when you’re busy. We never store details about the appointments in your connected calendar, such as who you are meeting with, their email address, or the meeting title. Although connecting your calendar to our services makes the scheduling process much more efficient, you are not required to connect your calendar to use our services. More information about access the moCal app and extensions have to your connected calendar is available here. moCal processes the calendar information on the User’s behalf as a processor or service provider. (For Prelude Service Users Only), the Prelude service works a bit differently. Moris Media will have access to the duration, free/busy status of the events in your calendar, attendees, start time, and the title of these events. We need this information in order to understand which events are movable on a User’s calendar so interviews may be scheduled more seamlessly.)

Information Received from the Third Parties

If you choose to connect your account to your account with a third-party service, we may receive or be granted access to information from such third-party service, including Personal Information. For example, if you use the Prelude service and enable applicant tracking systems integrations for the recruiting use case within Prelude, your ATS may send to Prelude certain Personal Information as determined by you. You can stop sharing your information from a third-party service with us by removing our access to that service. moCal processes that information on the User’s behalf as a processor or service provider.

Account and Billing Information

Users provide Moris Media with certain information, including name, email address, username, and password, when you set up your account. If you purchase a premium version of moCal, our third party payment processors will collect and store your billing address and credit card information. We store the last four digits of your credit card number, card type, and the expiration date. (the payment and billing information will be processed as established in the services agreement between Moris Media and your organization.)

Marketing Information

Users, Invitees, or Viewers interested in moCal’s services may contact us through forms made available on the Website and voluntarily give information such as name, work email, phone number, company, and role. Users, Invitees, or Viewers interested in our newsletter may also submit their name and email addresses to join our mailing list. We also receive other similar information provided by you if you participate in an event hosted by Moris Media or its partners (such as webinars) and in your interactions with our social media accounts.

Information Collected Automatically From You:

We and our Service Providers use Cookies, pixels, web beacons, and other technologies to receive and store certain types of information when you interact with us through your computer or mobile device (subject to your consent, opt-out preferences or other appropriate legal basis where legally required). Using these technologies helps us customize your experience with our Website, improve your experience, tailor marketing messages, and help us detect and prevent fraud and security risks. Log & Device Data

When you use moCal, our servers automatically record certain information (“log data”), including information that your browser sends whenever you visit our Website. Whether we collect some or all of this information often depends on what type of device you’re using and its settings. When we use Cookies, we may use ‘session’ Cookies (that last until you close your browser) or ‘persistent’ Cookies (that last until you or your browser deletes them). Some of the Cookies we use are associated with your moCal account (including Personal Data about you, such as the email address you gave us), and other Cookies are not. Moris Media provides a centralized cookie management service across the entire moCal application. When you use our scheduling platform either as a User or an Invitee, we collect certain information about how you use the platform. For example, we collect information on the meeting types our Users use most often, and how many meetings are scheduled each day. We aggregate this information and use it to help us monitor and improve the Services, such as to determine which features are most popular amongst our Users, and which features could be added or improved.

Usage Data

Subject to your consent, opt-out preferences, or other appropriate legal basis where legally required, we use third-party Service Providers such as Google Analytics to provide certain analytics and Viewer interactions services to Moris Media in connection with our operation of our Website, including the collection and tracking of certain data and information regarding the characteristics and activities of visitors to moCal. You may opt-out of relevant cookies using opt-out features on their respective websites.

Third Party Tools

Certain third-party tools may not be opted out of and are essential to our service. For example, Moris Media has implemented Google reCAPTCHA Enterprise to help prevent spam and abuse. reCAPTCHA Enterprise collects hardware and software information, such as device and application data, and sends it to Google for purposes of providing, maintaining, and improving reCAPTCHA Enterprise and for general security purposes. For moCal Invitees, rest assured that we do not use the email addresses you provide to schedule a meeting with a moCal User to send any form of direct marketing. However, you may receive marketing communications if you previously signed up for them or used the same email address to administer your moCal account. Addressing your requests

In addition, we will use your information to respond to your inquiries and feedback. For EU/ UK purposes, our legal bases for processing are performance of a contract, legitimate interests and/or compliance with a legal obligation.

We may contact you to inform you of changes to your services, our service offerings, and other important service-related notices, such as changes to the Notice or notices regarding security or misconduct. We require Service Providers to agree to take reasonable precautions to safeguard the Personal Data we share with them. We do not permit them to use or disclose your Personal Information outside of the scope of providing their services. Authorised Agents

If you are using moCal as a paid member of an organization or if you are using your organization's email domain (thus representing yourself as a member of the organization), we may share your email address, plan information, and account data with an authorized agent of your company at the request of your company so that they can administer the account for the company.

Reorganization Event

We may transfer or assign your Personal Information to parties involved in a sale, merger, consolidation, change in control, transfer of assets, reorganization, or liquidation of our company (a "Reorganization Event"). You acknowledge that such transfers are permitted by this Privacy Notice and may occur.
